These Terms of Use ("Terms") govern your access to and use of the website located at lunaraspect.com (the "Site"), operated by Lunar Aspect, Inc. ("Lunar Aspect," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

We are a Delaware corporation located at 2261 Market St, Ste 10008, San Francisco, CA 94114, United States.

Scope: what these Terms cover

These Terms apply only to your use of our public Site. They do not govern use of the Lunar Aspect application or any other product or service we provide to customers (the "App"). Access to the App is provided to business customers under a separate written agreement, and these Terms do not grant you any right to access or use the App. In the event of any conflict between these Terms and a written agreement governing the App, that agreement controls with respect to the App.

Eligibility

The Site is intended for business users. You must be at least 18 years old and able to form a binding contract to use the Site. If you use the Site on behalf of a company or other organization, you represent that you have the authority to bind that organization to these Terms, and "you" refers to that organization. The Site is not directed to children under 16.

Changes to the Site and to these Terms

We may modify, suspend, or discontinue all or part of the Site at any time without notice. We may also update these Terms from time to time. If we make material changes, we will post the updated Terms on the Site and update the "Last updated" date above. Your continued use of the Site after the changes take effect constitutes your acceptance of the revised Terms. We recommend reviewing this page periodically.

Acceptable use

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree that you will not, and will not permit others to:

Use the Site in any way that violates applicable law or regulation;
Access, scrape, harvest, or collect data or content from the Site using automated means (such as bots, crawlers, or scrapers) without our prior written permission;
Attempt to gain unauthorized access to the Site, any related systems, or any account, or interfere with or disrupt the integrity, security, or performance of the Site;
Introduce any viruses, malware, or other harmful code, or attempt to probe, scan, or test the vulnerability of the Site;
Reverse engineer, decompile, or disassemble any portion of the Site, except to the extent such restriction is prohibited by applicable law;
Frame, mirror, or otherwise reproduce any part of the Site without our prior written permission; or
Use the Site to transmit unsolicited communications, infringe the rights of others, or impersonate any person or entity.

We may suspend or terminate your access to the Site at any time, with or without notice, if we believe you have violated these Terms.

Intellectual property

The Site and all of its content — including text, graphics, logos, images, layout, design, and software — are owned by Lunar Aspect or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for your own informational and business purposes. No other rights are granted, and all rights not expressly granted are reserved.

"Lunar Aspect" and our logos are trademarks of Lunar Aspect, Inc. You may not use them without our prior written permission. Any third-party names and marks appearing on the Site are the property of their respective owners.

Feedback

If you choose to send us comments, suggestions, or other feedback about the Site or our products, you agree that we may use it without restriction or obligation to you, and that you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, and incorporate it for any purpose.

Privacy

Your use of the Site is also governed by our Privacy Policy, which describes how we collect, use, and disclose information about you. By using the Site, you acknowledge that you have reviewed the Privacy Policy.

Third-party links

The Site may contain links to third-party websites and services that we do not own or control. We provide these links for convenience only and are not responsible for the content, products, privacy practices, or policies of any third-party site. Your use of any third-party site is at your own risk and subject to that party's terms.

Disclaimers

THE SITE AND ALL CONTENT ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, secure, error-free, or free of harmful components, or that any information on the Site is accurate, complete, or current.

Information on the Site is provided for general informational purposes only and does not constitute professional, legal, financial, or other advice. Any reliance you place on such information is at your own risk.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LUNAR ASPECT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Lunar Aspect and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site, your violation of these Terms, or your violation of any rights of a third party.

Governing law and venue

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in San Francisco, California, and you consent to the personal jurisdiction of those courts.

Dispute resolution

Before filing any claim, you agree to first contact us at legal@lunaraspect.com and attempt to resolve the dispute informally; we will try to do the same. Any claim arising out of or relating to these Terms or the Site must be filed within one (1) year after the claim arose; otherwise, it is permanently barred, to the extent permitted by applicable law.

General

Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Lunar Aspect regarding your use of the Site and supersede any prior agreements on that subject.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
No third-party beneficiaries. These Terms do not create any third-party beneficiary rights.
Headings. Section headings are for convenience only and do not affect interpretation.
